1. Purpose
OneGate provides technology, infrastructure, and platform services that enable game studios and digital creators to manage and promote their own digital storefronts. This Agreement sets forth the general terms and conditions under which OneGate will provide such services to Client.

2. Scope of Services
2.1 OneGate shall provide platform and support services as described in the applicable Service Order(s) or Statement(s) of Work (SOW) executed by both Parties from time to time.
2.2 The Parties acknowledge that OneGate does not act as a merchant of record, payment facilitator, or money transmitter in connection with any transaction between Client and its end customers.
2.3 Client remains solely responsible for its products, content, pricing, fulfillment, and compliance with all applicable laws.

3. Client Obligations
3.1 Client shall ensure that all content, products, and activities on its storefront comply with applicable laws, third-party platform policies (including but not limited to PayPal’s Acceptable Use Policy), and intellectual property rights.
3.2 Client shall provide accurate and complete information as reasonably requested by OneGate for verification, risk, or compliance purposes.
3.3 Client shall not use OneGate’s platform to engage in or facilitate fraudulent, misleading, or prohibited transactions.

4. Fees and Payment
4.1 Fees for services will be set out in the applicable SOW or Service Order.
4.2 Unless otherwise agreed in writing, all fees are due within [30] days of invoice date and exclusive of applicable taxes.

5. Intellectual Property
5.1 Each Party retains all rights, title, and interest in and to its own intellectual property.
5.2 Nothing in this Agreement transfers ownership of any intellectual property from one Party to the other.
5.3 OneGate grants Client a limited, non-exclusive, non-transferable license to use the platform solely for the purposes described in this Agreement.

6. Confidentiality
6.1 Each Party agrees to keep confidential all non-public information received from the other Party.
6.2 Confidential information shall be used solely for the purposes of performing under this Agreement.
6.3 These obligations survive termination for a period of three (3) years.

7. Representations and Warranties
Each Party represents and warrants that it has the full right and authority to enter into this Agreement and perform its obligations hereunder.

8. Limitation of Liability
To the maximum extent permitted by law, neither Party shall be liable for any indirect, incidental, consequential, or punitive damages. OneGate’s total aggregate liability under this Agreement shall not exceed the total amount of fees paid by Client to OneGate in the twelve (12) months preceding the claim.

9. Term and Termination
9.1 This Agreement commences on the Effective Date and continues until terminated by either Party upon thirty (30) days’ written notice.
9.2 Either Party may terminate this Agreement immediately upon material breach by the other Party that remains uncured after written notice.

10. Compliance and Review
10.1 Client acknowledges that OneGate may be subject to review by third parties, including payment partners such as PayPal, for compliance verification purposes.
10.2 Client agrees to cooperate and provide necessary documentation or information reasonably requested in connection with such reviews.

11. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

12. General Provisions
12.1 This Agreement, together with all executed SOWs or Service Orders, constitutes the entire understanding between the Parties.
12.2 No amendment or modification shall be effective unless made in writing and signed by both Parties.
12.3 Neither Party may assign this Agreement without the prior written consent of the other Party, except to an affiliate or successor entity.

These Terms and Conditions (“Terms”) govern the use of the OneGate platform, products, and related services (collectively, the “Services”) provided by OneGate Pte. Ltd. (“OneGate”, “we”, “us”, or “our”).
By accessing or using the Services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

1. Eligibility
You must be at least 18 years old and have the legal authority to enter into binding contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. Service Description
2.1 OneGate provides technology tools that allow clients to create and manage storefronts, product pages, and integrations with third-party services.
2.2 OneGate is not a merchant of record, payment processor, or financial intermediary. All sales, customer relationships, and product fulfillment are conducted directly between Client and its customers.

3. Account Registration
3.1 To access the Services, you must create an account and provide accurate, complete, and up-to-date information.
3.2 You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
3.3 OneGate reserves the right to suspend or terminate accounts that provide false, incomplete, or misleading information.

4. Use of Services
4.1 You may use the Services only for lawful business purposes and in compliance with these Terms, applicable laws, and any policies referenced herein.
4.2 You shall not:
- Use the Services to sell or distribute illegal, counterfeit, or infringing goods;
- Engage in deceptive, fraudulent, or misleading practices;
- Interfere with or attempt to disrupt the security or functionality of the Services;
- Use the Services for any purpose prohibited by applicable laws or by OneGate’s Acceptable Use Policy.
4.3 OneGate may monitor account activity to ensure compliance with these Terms and applicable laws.

5. Client Responsibilities
5.1 You are solely responsible for the accuracy, legality, and quality of all content, products, and materials uploaded to your storefront.
5.2 You are responsible for handling all customer support, refunds, and disputes related to your products or services.
5.3 You must ensure that your activities comply with all applicable regulations, including data protection, intellectual property, and consumer protection laws.

6. Fees and Payment
6.1 Fees for using the Services are specified in the relevant Service Order or agreement between you and OneGate.
6.2 All payments are non-refundable unless otherwise stated.
6.3 OneGate reserves the right to modify pricing with prior notice.

7. Intellectual Property
7.1 All intellectual property rights in the Services, including software, design, and trademarks, remain the exclusive property of OneGate.
7.2 You retain ownership of your own content but grant OneGate a limited license to host and display such content for the purpose of operating the Services.

8. Third-Party Services
8.1 The Services may integrate with third-party tools (e.g. payment gateways, analytics, hosting).
8.2 OneGate is not responsible for the actions, performance, or availability of any third-party service provider.
8.3 Your use of such services is governed by their respective terms and policies.

9. Compliance Reviews
9.1 OneGate may cooperate with payment partners or regulatory authorities for compliance reviews.
9.2 You agree to provide documentation or information reasonably requested to support such reviews.
9.3 Failure to cooperate may result in suspension or termination of your account.

10. Confidentiality
Both Parties shall maintain the confidentiality of any non-public information exchanged in connection with the Services and shall not disclose it to third parties except as required by law or with prior written consent.

11. Limitation of Liability
To the fullest extent permitted by law:
- OneGate shall not be liable for any indirect, incidental, consequential, or punitive damages; and
- OneGate’s aggregate liability under these Terms shall not exceed the total amount of fees paid by you to OneGate in the twelve (12) months preceding the event giving rise to the claim.

12. Termination
12.1 Either Party may terminate use of the Services upon thirty (30) days’ written notice.
12.2 OneGate may suspend or terminate your account immediately if you breach these Terms or engage in prohibited activities.
12.3 Upon termination, your right to access or use the Services will immediately cease.

13. Data Protection
OneGate handles personal data in accordance with its Privacy Policy, available at [insert link]. By using the Services, you consent to such processing.

14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Amendments
OneGate may update these Terms from time to time. Continued use of the Services following such updates constitutes your acceptance of the revised Terms.

This Acceptable Use Policy (“Policy”) defines prohibited and restricted activities related to the use of the services, software, and platform (“Services”) provided by OneGate Pte. Ltd. (“OneGate”, “we”, “our”, or “us”).
This Policy is incorporated by reference into the Master Services Agreement and Terms & Conditions governing use of the OneGate platform.
By accessing or using the Services, you (“Client” or “User”) agree to comply with this Policy.

1. Purpose
The purpose of this Policy is to ensure that all users of the OneGate platform act responsibly, lawfully, and in compliance with applicable regulations and OneGate’s contractual obligations with its service and payment partners, including PayPal.

2. Prohibited Activities
You may not use the OneGate platform or Services to engage in or promote any of the following activities:
A. Illegal or Regulated Goods and Services
- Sale or promotion of illegal or counterfeit goods, including pirated digital products.
- Distribution of stolen, unauthorized, or infringing software, games, or content.
- Sale or promotion of controlled substances, narcotics, or drug paraphernalia.
- Firearms, ammunition, explosives, or weapons.
- Tobacco, e-cigarettes, or vaping products.
- Unlicensed alcohol distribution.
- Items or services that violate export control or sanctions laws.

B. Financial and High-Risk Activities
- Money transmission, currency exchange, or remittance without proper licensing.
- Credit repair, debt collection, or financial guarantee services.
- Investment schemes, securities trading, or “get-rich-quick” programs.
- Multi-level marketing, pyramid, or Ponzi schemes.
- Cryptocurrency trading, token issuance, or virtual asset brokerage without proper authorization.
- Any activity designed to bypass payment provider restrictions (including PayPal).

C. Adult and Obscene Content
- Pornographic, sexually explicit, or escort-related materials.
- Adult video, live stream, or subscription platforms.
- Fetish, erotic, or obscene media, including implied sexual services.

D. Gambling and Betting
- Lotteries, raffles, betting, fantasy sports, or casino-style games.
- Any form of wagering involving monetary or digital value without required licenses.

E. Misleading or Fraudulent Conduct
- False or deceptive advertising, impersonation, or misrepresentation.
- Selling products you do not own or cannot deliver.
- Data harvesting, phishing, or unauthorized access to systems.
- Circumventing OneGate or payment partner review mechanisms.

F. Harmful or Abusive Content
- Content that promotes violence, terrorism, hate speech, or discrimination.
- Harassment, bullying, or defamation of individuals or groups.
- Activities that interfere with, damage, or overload OneGate’s systems or networks.

3. Compliance Obligations
3.1 Users must comply with all applicable laws and regulations, including:
- Intellectual property and copyright laws;
- Data protection and privacy laws;
- Consumer protection and advertising regulations; and
- Payment network and financial compliance standards.
3.2 Users must also comply with the PayPal Acceptable Use Policy, available at https://www.paypal.com/us/legalhub/acceptableuse-full, when using PayPal or its services within the OneGate platform.

4. Monitoring and Enforcement
4.1 OneGate reserves the right to monitor activity on its platform and investigate suspected violations of this Policy.
4.2 OneGate may, at its discretion and without notice:
- Remove or restrict access to content or accounts that violate this Policy;
- Suspend or terminate access to the Services;
- Report violations to law enforcement or regulatory authorities; or
- Cooperate with payment partners (including PayPal) in compliance reviews.
4.3 Users are responsible for any loss or damage caused by their breach of this Policy.

ACCEPTABLE USE POLICY

REFUND POLICY

This Refund Policy applies to fees paid by Clients to OneGate Pte. Ltd. (“OneGate”) for access to or use of the OneGate platform and related services (“Services”).

1. Service Fees
All payments made to OneGate are for access to the OneGate technology platform and associated support services.
OneGate does not handle or process payments between Clients and their end customers.

2. Non-Refundable Fees
Unless otherwise stated in a written agreement, all service fees, subscription fees, and setup costs paid to OneGate are non-refundable once the Service has been activated or delivered.

3. Refund Exceptions
Refunds may be considered on a case-by-case basis only in the following situations:
- Duplicate payment made in error;
- Technical failure preventing Service activation; or
- Other extenuating circumstances approved by OneGate management.

4. Request Procedure
To request a refund, Clients must contact hello@onegate.dev within 14 days of the payment date, providing the transaction reference and reason for the request.

5. Processing Time
Approved refunds will be processed within 10–15 business days using the original payment method, unless otherwise agreed.

6. Policy Updates
OneGate reserves the right to modify this Refund Policy from time to time. Updates will be effective upon posting on the official website.
